SAASLA constitution

SOUTH AUSTRALIAN AREA SCHOOLS LEADERS ASSOCIATION

 

1.Name

 

1. 1 The name of the organisation shall be the SOUTH AUSTRALIAN AREA SCHOOL LEADERS ASSOCIATION INCORPORATED, herein called SAASLA.

 

 

 

2. Definitions & Interpretation

 

2.1 The term leader is used in the inclusive sense and includes principal, assistant principal, deputy principal and coordinator/senior.

 

2.2 "Executive" means the Executive committee of the Association.

 

2.3 "Member" means a member of the Association under the Incorporation Act, 1985

 

2.4 The Act means the Associations Incorporation Act 1985

 

2.5 The Regulations means the Associations Regulations, 1985.

 

2.6 The term Area School is defined as any school that offers a primary and secondary curriculum.

 

 

 

3 Objects & Purposes

 

3.1 To promote the principalship and other leadership roles as positions of responsibility.

 

3.2 To work for the betterment of education in Area Schools and country education in general.

 

3.3 To develop opportunities for the sharing and growth of the skills and knowledge of school leaders.

 

3.4 To improve the welfare of all members, and to represent them and protect their interests.

 

3.5 To encourage cooperation and fellowship among members.

 

3.6 To maintain close link with other principal associations and liaise with principals of other government schools and pre‑ and post school educational institutions.

 

3.7 To seek recognition as an important consultative group by the State Minister for Education and his/her agencies and/or officers.

 

3.8 To be proactive and reactive to changing educational philosophies and processes and in doing so provide measured advice to department officers and other forums as appropriate.

 

 

 

 

 

 

4 Membership

 

4.1 All current and retired educators in band 2 and 3 are entitled to full membership of The Association.

 

4.2 Associate membership may be granted at the discretion of the Executive of the Association. Associate members may attend and speak at meetings, but are not entitled to vote or hold office

 

 

4.3 Life membership may be conferred by two‑thirds majority of eligible voters at the Annual General Meeting of SAASLA on a member who has made an outstanding contribution to SAASLA for at least seven (7) years. Nominations for Life Membership of SAASLA must be made by the Executive. Life Members may attend and speak at meetings, but are not entitled to vote or hold office unless they are also eligible for Full membership.

 

 

 

5 Subscriptions

 

5.1 The annual subscription for all classes of membership shall be determined by Members at the Annual General Meeting.

 

5.2 Executive will determine pro‑rata subscription for principals and other leaders appointed for part of our financial year.

 

5.3 Subscriptions shall be due on the first day of Term 1 of the school year, or at such other time as Executive shall determine.

 

5.4 Fortnightly payroll deductions can be arranged through the treasurer of the association.

 

 

 

6 Prohibition against Securing Profits For Members

 

6.1 The income and capital of the association shall be applied exclusively to the promotion of its objects and no portion shall be paid or distributed directly or indirectly to members or their associates except as bona fide remuneration of a member for services rendered or expenses incurred on behalf of the association.

 

 

 

7 Resignation

 

7.1 A member may resign from membership of the Association by giving written notice thereof to the Secretary of the Association.

 

 

 

8 Expulsion

 

8.1 Subject to giving a member an opportunity to be heard or to make a written submission, the Executive may resolve to expel a member upon charge of misconduct detrimental to the interest(s) of the Association.

 

8.2 Particulars of the charge shall be communicated to the member at least one calendar month before the meeting of the Executive at which the matter will be determined.

 

8.3 The determination of the Executive sha'. ;f communicated to the member in writing and in the event of an adverse determination the member shall cease to be a member of the Association fourteen days after such correspondence has been forwarded.

 

 

 

 9 Organisational Structure of the Executive

 

9. 1 The Executive shall be elected by the financial members of the Association and consist of not more than 10 members who will include:

 

1. President

 

2. Secretary

 

3. Treasurer

 

9.2 The term of office for the principal officers which include President, Secretary and Treasurer will be for one year, from the close of one Annual General Meeting to the close of the next one.

 

9.3 The term of office for the members of the Executive will be for a term of 2 years.

 

9.4 Executive may appoint such committees as it determines in order to expedite its business.

 

9.5 For the purpose of this constitution, a vacancy in the office of a member of the Executive occurs if a member:

 

(a) dies

 

(b) ceases to be a member of the Association

 

(c) is removed from the office pursuant to Section 7 of this Constitution

 

(d) permanently incapacitated due to ill health

 

(e) is absent without apology for more than 2 consecutive meeting of the Executive.

 

Such a vacancy will be filled according to procedure outlined in Section 9.2 of this Constitution.

 

9.6 Members will ensure that issues of gender and geographic inclusivity are considered in the election process.

 

 

 

10 Elections

 

10.1 Executive will be elected by postal or electronic voting before the Annual General Meeting. The process will be:

 

(a) Nomination forms for the positions on Executive will be sent out to all full financial members in Term 2, via the Newsletter.

 

(b) Each nomination shall be signed by the nominee and nominator. Self-nomination is an acceptable form of nomination for an executive position.

 

(c) All written nominations must be received by the Secretary on or before the advertised due date.

 

(d) Members shall return voting slips to the Returning Officer (who shall be appointed by Executive) on or before the date as may be specified in the newsletter.

 

(e) The results of the election will be announced prior to the Annual Area Schools conference and published in the following newsletters.

 

(f) The President shall be elected by the members from the published list of executive members prior to the annual conference. Nominations, candidate statements if required, and the election shall be done electronically or by postal vote.

 

(g) Other office bearers shall be elected from the executive members by the newly elected executive members at the annual conference

 

 

10.2 If a casual vacancy occurs with at least one semester's tenure remaining, a bye‑election may be held to fill the casual vacancy. Otherwise the Executive shall have the power to appoint a member to fill the vacancy. Executive will give careful consideration to issues of gender and geographic inclusivity.

 

 

 

11 Meetings

 

11. 1 The Annual General Meeting shall be held in Term 3 of the school year.

 

11.2 The executive of the association will meet at least 8 times a year. Executive meetings are open to all financial members.

 

11.3 Meetings of committees shall be determined by each body as appropriate.

 

11.4 The Quorum for all General Meetings shall be 10 members.

 

11.5 The quorum for Executive meetings will be 5 members.

 

11.6 Special General Meetings:

 

(i) May be called by the Executive or upon requisition in writing of not less than 5 members of the Association.

 

(ii) Every requisition for a Special Meeting shall state the purpose of the meeting, shall state the names of members who have called the meeting and shall be presented to the Secretary of the Association.

 

(iii) Upon receipt of every requisition, the executive shall convene a Special Meeting as soon as possible for the purpose set out in the requisition.

 

 

 

 

 

12 Powers and Responsibilities

 

12.1 The President shall be responsible for

 

·        coordinating the affairs of the Association according to the Constitution and decisions of the Association and the Executive

 

·         appointing conveners of all committees, in consultation with Executive.

 

·        appointing Association nominees to committees set up by other bodies with appropriate consultation.

 

·        All public statements of the Association

 

 12.2 The Secretary shall arrange meetings, keep a roll of members, all minutes and other records necessary for the  conduct of the affairs of the Association.

 

12.3 The Secretary shall publish the minutes.

 

12.4 The Secretary shall act as the public officer of the Association

 

12.5 The Treasurer shall receive and keep account of all subscriptions paid to her/him by members, and present a duly audited financial statement at the Annual General Meeting.

 

12.6 The Executive shall be responsible for the conduct of the affairs of the Association, including the collection and dispersal of funds. The Executive shall have the power to determine interim policy on issues relevant to the Association and to prepare draft policies on such issues.

12.7  The first financial year of the association shall be the period ending on the next 30 June following incorporation, and thereafter a period of 12 months commencing on 1 July and ending on 30 June of each year.

 

 

 

13 Changes to the Constitution

 

13.1 Changes to the Constitution may be made at the Annual General meeting or a Special General Meeting called for that purpose.

 

13.2 Notices of motion for changes to the Constitution shall be in the hands of the Secretary thirty school working days prior to the Annual General meeting or Special General Meeting.

 

13.3 Members shall be notified of any such notices of motion at least twenty school working days prior to such a meeting.

 

 

 

14 Dissolution of the Association

 

14.1 The association may be wound up in the manner provided for in the Act.

 

14.2 Should the association dissolve or be dissolved, any remaining assets will be divided equally between associations representing principals and other school leaders in state primary and secondary schools.

 

 

 

15 Application of Surplus Assets

 

15.1 If after the winding up of the association there remains “surplus assets”

as defined in the Act, such surplus assets shall be distributed to any organisation which has similar objects and has rules which prohibit the distribution of its assets and income to its members.

 

15.2 Such organisation or organisations shall be identified and determined by a resolution of members in general meeting.
